Transparent and accessible companies which run hybrid AGMs

Here are more than 130 examples of transparent and accessible companies which have run full hybrid AGMs with both online voting and questions since they were first forced to embrace online participation during the COVID-19 pandemic. Also, see this long list of more than 200 luddite companies still running dinosaur physical AGMs. Most of them are outside the ASX300.

Alfabs Australia (AAL): Bill Wavish and his wife Yvonne have quite an equity play going at this company. He may have failed miserably in his tilt at the Endeavour Group board in 2023 but Bill topped up with another 235k on-market purchase at Alfabs in December 2024. Market cap was $114m in early 2025. The commendably ran a hybrid AGM out of Automic's Sydney office on November 22, 2024.


AML3D (AL3): $30m two stage placement at 19c with the second stage subject to shareholder approval at a hybrid EGM in Adelaide on December 20 2024 starting at 11am. The two well-credentialled challenging candidates, Philip Galvin and Robert Caisley, were comfortably defeated but both gave good campaign speeches and contributed some penetrating questions from the floor.

Australian Finance Group (AFG): 9am hybrid in Perth on October 18, 2024. See notice of meeting. See online access via Link. Market cap $430m. No protest votes but enjoyed grilling the former ASIC chair Greg Medcraft who has chaired this outfit for the past couple of years and also noticeably improved its governance, such as by offering a hybrid meeting. Many Perth-based companies refuse to do this, as can be seen on this disappointingly long shame file.

Aurizon (AZJ): 2pm hybrid in Brisbane on October 10, 2024. See notice of meeting and text of the 6 written questions submitted at the 97 minute 2024 Aurizon Holdings hybrid AGM held in Brisbane on October 10, plus a summary of the answers and some video grabs via Twitter. The only protest votes were against the two directors up for election, including 14% against chair Tim Poole. This was surprising given we couldn't find any proxy advisers who recommended against and was potentially driven by opposition to Aurizon's loss-making expansion into stevedoring as it tries to diversify away from coal haulage.

Gave new executive chair Angus McKay a solid grilling. He had no plausible excuse for failing to put himself up for election and wouldn't commit to do it next year either. In terms of executive chairs using the CEO voting exemption, you have to go back to Rupert Murdoch prior to News Corp's 2004 redomicile to Delaware and John Gay at Gunns before the GFC.

Billionaire Alan Rydge copped a rem strike courtesy of not being able to vote his controlling stake, as was discussed on The Money Café. Enjoyed the tag team with Charlie Kingston. Other billionaires like Kerry Stokes, Gerry Harvey, Solly Lew and Twiggy Forrest refuse to offer online questions so well done to Alan Rydge for being accountable and maximising retail shareholder access to the meeting.

Enjoyed the combat with chair John Klepec, who used to be Gina Rinehart's side-kick and was happy to take on gun shareholder activist Charlie Kingston who engaged strongly from the floor. Funniest moment came when Klepec defended the board's relatively modest skin in the game by claiming the NAB chair Phil Chronican would be on $1 million a cash year and wouldn't own $1 million worth of NAB shares. Metcash (MTS): Here is a the text of the 6 written question lodged at the 2024 Metcash hybrid AGM held in Sydney on September 13. The meeting lasted about 90 minutes with 2 questioners in the room (including ASA) and two of us online. There were modest rem protest votes.

NAB: Came out early disclosing it had copped a climate related shareholder resolution. Was a hybrid in Melbourne starting at 9.30am on December 18. Platinum Asset Management (PTM): 10am Sydney hybrid via this Computershare link. See notice of meeting. They disclosed the proxies early last year but not this year, where there was a huge 73% second rem strike despite the proxies only being 51% against. It appear founder Kerr Neilson voted against rem and defeated the CEO's LTI grant from the floor, even though his man James Simpson was elected with 98% support after self-nominating and receiving board endorsement. Telstra got away with one here after accounting treatment changes delivered an extra $7 million in stock awards to the executive team but the rem report and LTI protest votes were only around 15% because only one of the proxy advisers picked this up and recommended against. Chair Craig Dunn, a former AMP CEO who has somehow risen to the top at Telstra, also monopolised the Q&A session too much, failing to invite other directors to contribute even when specific questions were directed at them.
