1. Did any of the 5 main proxy advisers in the
Australian market - ACSI, ASA, Ownership Matters, Glass Lewis and ISS -
recommend a vote against any of today's resolutions? Which of the proxy
advisers are covering us and has their been a material proxy protest vote
against any of today's resolutions? Will you disclose the proxy votes before
the debate on today's resolutions so shareholders can ask questions if there
have been any protest votes?
2. When disclosing the outcome of all resolutions
today, will you publicly disclose how many shareholders voted for and against
each item, similar to what happens with a scheme of arrangement? This will
provide a better gauge of retail shareholder sentiment on all resolutions and
was a disclosure initiative recently adopted by Metcash and Southern Cross
Media after their AGMs.
3. Please explain why we claimed $617,000 in JobKeeper
across 2 financial years for 22 employees when we are a booming global company
capitalised at $5.24 billion. Will the board consider partially or fully refunding
this sum to the ATO so we are no longer associated with the widely rorted $88
billion scheme. Was our revenue really down by the required 30 or 50% in
Australia to qualify? Why don't we follow the lead of companies like Santos,
CIMIC, Wesfarmers, REA and Iluka Resources by fully repaying our JobKeeper
claim, if only because we just didn't it.
4. Given the range of interesting discussions across a
range of topics today, could the chair undertake to make an archived copy of
the webcast plus a full transcript of proceedings available on the company's
website. Nine Entertainment chairman Peter Costello, who appreciates the
benefit of a parliamentary hansard transcript where MPs don't have to scroll
through old videos to find out what was said, made this change last week &
had a full transcript of Nine AGM online before the end of the day. Sam, will
you join the AGM transcript team to maximise access for shareholders?
5. The AFR reported last week that Australia's biggest
auditor PwC has used dozens of unqualified workers, on lower salaries and with
less training and resources than their main office counterpart, to complete
audit work for large listed clients from an unbranded office in western
Sydney's Parramatta. Could our PwC auditor, Louise King, please comment on
whether this is true and whether any Altium auditing has been done from this
unbranded Parramatta office. Could the Altium audit committee chair also
comment on this issue.
6. Resolution 3: Re-elect Samuel Weiss as a director
Congratulations on your ongoing
terrific performance, Sam. Could you please comment on whether you intend to
serve a full 3 year term or whether this will be our last opportunity to vote
for you. In terms of succession planning, do you believe the next chair is
currently on the board and why don't we have a deputy chair to indicate likely
succession planning.
