2 questions asked at 2024 Cedar Woods hybrid AGM

November 6, 2024

Below is the text of the 2 written questions submitted at the 42 minute 2024 Cedar Woods hybrid AGM held on November 6. The proxies were disclosed early with the formal addresses and there were no protest votes.

Q1. Thank you for disclosing the proxy position to the ASX along with the formal addresses at 9.04am, almost two hour before the AGM commenced. Which of the 5 proxy advisers in the Australian market - ACSI, Ownership Matters, Glass Lewis, ISS and ASA - issued a report ahead of our meeting and did any of them recommend a vote against any of today's resolutions? If so, what reasons did they give and how are you going to respond. Please don't say they are confidential. It is standard for companies to be across this detail on the voting recommendations and inform shareholders where relevant.

Answer: Two of the firms cover Cedar Woods and there were no protest votes.

Q2. Has the appointment of administrators to most divisions of the CFMEU construction division had any impact on us? How do we find the CFMEU to deal with on apartment builds are how much union influence is there over our land business? Was the appointment of administrators the right decision and are we comfortable that our past dealings with the CFMEU have been appropriate?

Answer: The CEO said they don't generally use builders who use unionised labour. Listen to audio of exchange via Twitter.
